GENERAL INFORMATION
These General Terms and Conditions of Sale are entered into between Patrick SANCHEZ, SIRET Number: 79841924800025, and any natural or legal person wishing to purchase graphic design services from Patrick SANCHEZ. These General Terms and Conditions of Sale are available on the website www.patrick-sanchez.fr (in accordance with Article L.111-1 of the French Consumer Code). By using the services of Patrick SANCHEZ, the client acknowledges having read and accepted the following General Terms and Conditions of Sale, as well as warnings regarding intellectual property laws. Any order placed by a client implies their full and irrevocable agreement with all the terms outlined below.
PURPOSE / GENERAL TERMS
The following general terms of sale outline the rights and obligations of Patrick SANCHEZ and his clients in the context of the sale of publishing and/or video creation services of any kind, including additional services related to the stated domain. Only specific terms, if applicable, will prevail over any conflicting terms. Patrick SANCHEZ reserves the right to modify his General Terms and Conditions of Sale at any time. In such a case, the applicable terms will be those in force at the time the contract is signed. Patrick SANCHEZ reserves the right to refuse any service or work that is clearly immoral, racist, illegal, or that contradicts his design principles. The purchased services are under the sole responsibility of the client. Any event that leads to the cancellation of the service will not engage Patrick SANCHEZ’s liability, nor entitle the client to compensation or cancellation of the sale.
QUOTES / ORDERS
Upon request, Patrick SANCHEZ will provide a free quote that includes a detailed description of the services, their pricing, and the time frame for delivery. Prices listed in the quote take precedence over any prices shown on the website or other promotional materials. Quotes are valid for one month from the date of issue. If the client agrees to the terms of the quote and the General Terms and Conditions of Sale, payment of the requested deposit will confirm acceptance and signature of the quote. Work will commence once the deposit, signed quote, signed client contract, and completed brief have been received. Any additional purchases (fonts, photos, illustrations, etc.) or related expenses (technical follow-up, travel costs, etc.) not listed in the initial quote will be discussed with the client and paid directly to the third-party provider(s). The creative brief filled out by the client is not considered an order but is intended to establish a direction for the work. It does not create any obligation for Patrick SANCHEZ or any contractual relationship. The client’s personal data will be stored in Patrick SANCHEZ’s database to maintain communication. This data may be used to send technical, commercial, or advertising information via traditional or electronic means. For custom graphic design orders, no right of withdrawal applies due to the personalized nature of the work. If the client terminates the contract during execution, they must pay the full amount specified in the quote. Patrick SANCHEZ reserves the right to suspend any service due to client-caused delays, without refunding the deposit.
PRICING
All agreed prices are inclusive of all taxes. Patrick SANCHEZ reserves the right to change his prices at any time. For automatically renewing contracts, new rates will apply starting on the first day of the following month. If the client refuses, they may terminate the contract by registered letter with acknowledgment of receipt within one month of receiving the invoice. Otherwise, the new rates will be deemed accepted. A 50% deposit is required at the time of order. The remaining balance is due before delivery of the graphic files. For projects lasting more than fifteen days, a mid-project invoice may be issued as per the timeline in the quote. Late payments are subject to penalties calculated at three times the legal interest rate in France, with a minimum fixed penalty fee of €40. Patrick SANCHEZ may charge this penalty for late payments. Work will not be delivered until full payment (including penalties) is received. No discount is granted for early payment. Payments must be made by bank transfer to Patrick SANCHEZ.
DESIGN
A revision refers to a written client request acted upon by Patrick SANCHEZ after the delivery of an initial design proposal. The number of revisions allowed is limited by the number of workdays defined in the quote. Any revisions beyond this limit will be billed additionally.
LIABILITY
The client accepts full responsibility for the textual and visual content in the delivered work and for how it is used, including compliance with relevant regulations. The client also confirms ownership of the rights necessary to use all elements provided to Patrick SANCHEZ and agrees to hold him harmless against any third-party claims regarding rights violations. While all work is original, no prior rights clearance has been conducted. If the project results in a copyright infringement or unauthorized use, the client assumes sole responsibility for any legal or financial consequences.
INTELLECTUAL PROPERTY & COPYRIGHT
An idea proposed by the client does not constitute a creation. According to the French Intellectual Property Code (articles L.121-1 to L.121-9), only economic rights (reproduction, representation, resale rights) explicitly listed below will be transferred to the client, excluding moral rights. Moral rights (including the right to authorship and the integrity of the work) remain perpetually with the creator and cannot be transferred. Any reproduction or use of the work without consent is illegal and punishable under infringement laws. Economic rights will be transferred according to the terms specified in the quote and invoice, including nature, scope, destination, territory, and duration. If these are not specified, the following rights are granted by default:
Representation rights: the right to publicly display the work.
Reproduction rights: the right to make physical or digital copies for dissemination.
Resale rights: Patrick SANCHEZ retains the right to receive a percentage of sales when handled by professional art market agents.
These rights apply only to the agreed use as defined in the quote. Any reuse beyond that scope requires a new quote and payment. Moral rights remain with Patrick SANCHEZ and include the right of disclosure, authorship, respect for the work, and the right of withdrawal. Source or working files will only be delivered when strictly necessary and will be specified in the quote or subject to a separate transfer agreement. Economic rights become public and free to use 70 years after the author’s death. Any unforeseen use of the creation must be reported. Unauthorized use requires prior approval and additional compensation. Reproduction on illegal platforms or unauthorized modifications is prohibited. For websites and mobile apps, modifications due to updates are allowed. All rights and files remain the property of Patrick SANCHEZ until full payment is received. The client becomes the rights holder only upon final and full payment. Patrick SANCHEZ may transfer contractual obligations if he ceases business. In case of early termination, all payments are still due.
CONFIDENTIALITY / PERSONAL DATA COLLECTION
Patrick SANCHEZ may collect client information (name, address, phone number, email, etc.) but will not share it with third parties. He commits to discretion regarding any client information. Signed quotes, invoices, and communications will be archived as contract proof. According to French law (January 6, 1978), clients may access or correct their data by contacting contact@patrick-sanchez.fr. A confidentiality agreement can be signed upon request. Patrick SANCHEZ declines all responsibility for loss or damage of any kind.
COPYRIGHT & COMMERCIAL CREDIT
Unless the client explicitly requests otherwise, Patrick SANCHEZ may include a commercial credit on the creation, such as “Design by Patrick SANCHEZ,” along with a hyperlink to his website (www.patrick-sanchez.fr) when possible.
PROMOTIONAL RIGHTS
Patrick SANCHEZ reserves the right to use completed work as part of his portfolio, for promotional, internal, or external communication purposes. Any objections must be submitted before the quote is signed and mentioned in the invoice.
DELIVERY DEADLINES
Deadlines are agreed upon before contract signature and indicated in the quote. Patrick SANCHEZ will meet the deadline unless delays occur due to force majeure (illness, death, strike, fire, weather, power outage, internet failure, accident, theft, etc.), in which case no compensation or legal recourse is possible. Orders are binding. If the client cancels, the time worked will be billed at €420/day excluding tax. If the client does not respond within 3 days of receiving a draft, Patrick SANCHEZ is no longer responsible for timely delivery and may pause the project. A restart fee of €420 excluding tax will be required, along with a new contract, schedule, and pricing. The designer may refuse to resume if too much time has passed.
COMPLAINTS
Any complaint about the service must be sent in writing to Patrick SANCHEZ, 61 rue de Lyon, 75012 Paris, within two days of delivery. Complaints must be made by registered mail with acknowledgment of receipt. After this time, the work is considered accepted with no further claims possible. Complaints due to the client’s non-compliance with instructions will not be considered.
TERMINATION
In case of contract termination, the client is liable for all expenses incurred. If the client cancels during the process, full payment is due. Concepts cannot be reused with another designer. Patrick SANCHEZ may terminate the contract if the client is disrespectful or significantly changes the project scope. No refunds are given, but no cancellation fees will be charged.
JURISDICTION
Any disputes arising from the interpretation or application of these General Terms and Conditions are governed by French law.
